Application Terms (EULA)
About These Terms
These Application Terms (the "EULA") govern software applications that Peritus Systems, LLC ("Peritus Systems", "we", "us") publishes and operates, where no product-specific terms of their own apply. They are separate from, and in addition to, our website Terms of Use, which cover peritussystems.com itself.
They do not cover:
- Cibaria, which is governed by its own terms of service, available at https://cibaria.app.
- The Ezra Platform, our internal delivery and engagement system, which is governed by separate agreements with its users.
- Client engagements, which are governed by a separate written agreement.
License to Use the Applications
Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the applications for your own lawful business or personal purposes. You may not reverse-engineer, decompile, or copy the underlying structure, source code, or proprietary workflows of the applications, and you may not resell or provide the applications to others as a service.
Accounts and Security
Where an application offers accounts, you are responsible for maintaining the confidentiality of your login credentials and for activity that happens under them. Tell us promptly at support@peritussystems.com if you believe an account has been compromised. Our handling of personal information is described in our Privacy Policy.
Not Professional Advice
Content, output, templates, and tools within our applications are provided for informational and organizational efficiency. They do not constitute legal, financial, tax, or other professional advice, and they do not guarantee any particular outcome. Consult your own professional advisers before acting on anything an application produces.
Availability
The applications are provided "as is" and "as available". We work to keep them available and accurate, but we do not warrant that they will be uninterrupted, error-free, or free of harmful components, and we may modify or discontinue features over time.
Purchases and Subscriptions
Where an application offers a paid plan or subscription, the purchase terms displayed at checkout — price, billing frequency, renewal, and cancellation — govern that purchase, and those terms are presented before payment is taken. Subscriptions purchased through the Apple App Store or Google Play are billed, managed, and cancelled through those platforms' subscription settings, and we cannot modify or refund subscriptions processed through a mobile storefront. Where an application itself provides account settings with billing controls, you can manage or cancel your subscription there.
Intellectual Property
The applications, their content, and the Peritus Systems marks are owned by Peritus Systems or its licensors. Content you create or upload remains yours; you grant us only the limited rights needed to store, process, and display it to operate the application for you.
Limitation of Liability
To the fullest extent permitted by law, Peritus Systems will not be liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, data corruption, or business interruption — arising from your use of the applications. Our total liability arising out of or relating to an application will not exceed .
Termination
We may suspend or terminate access to an application if you materially breach these terms, or where required by law. You may stop using an application at any time. Sections that by their nature should survive termination — intellectual property, disclaimers, and limitation of liability — will survive.
Changes to These Terms
We may update these terms as the applications and the law change. The effective date below always reflects the current version, and material changes will be highlighted before they take effect.
Governing Law
These terms are governed by the laws of the State of , without regard to conflict-of-laws rules.
